As a former senior executive, deputy general counsel, and big firm lawyer, I provide an approach to corporate law and related regulatory affairs guided by more than 20 years of management experience. The firm specializes in complex corporate transactions, such as mergers & acquisitions, dispositions, and joint ventures, including transactions that require regulatory approvals. We negotiate and review all forms of contracts, with a special emphasis on technology and outsourcing, business development, marketing, distribution, and agency agreements. I provide outside general counsel services to large and mid-size clients, including corporate secretarial and corporate governance functions. The firm also partners with large law firms to deliver high-value, cost-effective legal solutions to mutual clients. We provide insurance and reinsurance services, including structuring, and contract negotiation and review. I have extensive experience in company dissolutions and runoffs, including through the use of trusts. As a result, I have held leadership positions in companies in their wind down phases. Based on my experience in government service and as government affairs consultant in Washington, DC, I help regulated clients obtain approvals for strategic transactions, inter-company agreements, new company formations, and expansion into new markets. The firm also assists regulated clients with Insurance Holding Company Act filings and responses to financial and market conduct examinations. Clients include insurance companies, service contract companies, motor clubs, and other regulated businesses. My practice includes work for companies outside the insurance space, including technology, outsourcing, and general business corporations.
